Course Overview
Are you too busy handling the corporate compliances for your clients or several groups of companies? Are you having to deal with yet another urgent Joint Venture & Shareholders Agreement, with SEED funding from EDB or venture capitalists?
Usually, as a non-legal person, don’t you wish you can extract easily all the salient terms in the Sale & Purchase (S & P) Agreement and align / integrate them into the Company’s existing Articles of Association?
Registration begins at 9.30am on the day itself.
The course starts at 10.00am and ends by 1pm.
Course Content
• Assess, discuss, interpret and extract the salient clauses / articles
for amendments
• Look out for “conflicting” articles which affect the different shareholders,
their rights & their directorship nomination
• Do step-by-step, streamline and align/cross-reference the varying
provisions (taking into account the S&P Agreement, reasonableness
and compliance with statutory provisions)
• Hands-On & guided attempt in drafting/finalising the Articles changes
