Our SCCC MeetUp Group met on 12 March 2010 and learnt alot from CPA Mr Sean Lim about the pitfalls and checks & balances needed to stay compliant with IRAS (the tax man).


Far too many people are caught unaware of their tax, GST, accounting & other corporate compliances … or have been caught for tax evasion or fraud.


Sobering thoughts … we want the tax man as our friend, not our foe.

After 5 long years, I finally got vindicated and won a legal case against another secretarial provider, for breach of contract and non-payment.


It just goes to show that one has to stand firm, and be on the right side of the law, and live life above the line, and justice will always prevail.


This reinforces and spurs me on to always advise my clients and others that “a good name is better than riches” and INTEGRITY is key in any business.

As part of ACRA’s pro-enterprise initiatives, their records will now be updated with new building names as informed by SingPost. Customers will be kept informed of the change via email or mobile messaging alerts.

With implementation of this new service, the ‘Announcements’ section of BizFile (www.bizfile.gov.sg) will be updated with a list of affected building names on a monthly basis. This is useful because the current address appears inadequate if the building names are not reflected.

Most of us recognize the address with the “building names” as “landmarks” and it is indeed welcome news that now the building names will be reflected clearly in ACRA records.

As you may be aware, the Steering Committee for Review of the Singapore Companies Act was commissioned by the Ministry of Finance in Oct 2007 to REVIEW and REWRITE the Companies Act, so as to retain an efficient and transparent corporate regulatory framework that supports Singapore’s growth as a global hub for both businesses and investors.


The Steering Committee had been working hard to perform a comprehensive review of our Act, in comparison with what’s already happening in other jurisdictions like Australia, Hong Kong and UK.


Its approach is to see how we can either lessen the regulatory burdens of companies or make it easier for them to comply with the statutory requirements, whilst ensuring transparency and accountability to 3rd parties.


There had been 2 confidential discussion papers so far dealing with directors and corporate governance issues, and accounts and audit. Subsequent discussion papers will cover issues relating to shareholders’ rights and meetings, capital maintenance and shares, takeovers and amalgamation, registration of charges and general company administration.


As we all can expect quite some imminent changes to the Companies Act, hence I have started a MeetUp Group called the “Singapore Corporate Compliance Club (SCCC)” for you to join in.


The purpose of this MeetUp Group is for us to exchange, meetup, discuss, expound the Companies Act and its implications, etc! I would like all of us to be kept abreast of the forthcoming new changes, which will be unveiled when the time is right (as approved by the Ministry to be released).
