Ms Valerie Lim, Founder of Gateway 21 Pte Ltd, has over 20 years of experience in the corporate compliance sector.
She did a 6.5 years stint with Arthur Andersen, where she set up the Corporate Secretarial Department in 1986 and grew the business successfully. Following which, she started up a local firm with an ex-colleague which has grown into a mid-sized firm in a short period of 2 years from 1992-1993. She also had 2 years of employment from 1995-1996 in Asiaciti Management Pte Ltd, which provides wealth management advisory services.
In addition, she was a pioneer in Abogado Pte Ltd, the secretarial division of the international law firm, Baker & McKenzie from 1996-2000, whose clients are Fortune 500s and MNCs, bringing in millions of dollars for the secretarial practice.
Graduating in 1984, Valerie is a Fellow member of the Singapore Association of Institute of Chartered Secretaries & Administrators (SAICSA). Besides being the facilitator at SAICSA for more than 14 years, for the Fundamentals of Corporate Secretarial Practice course, covering topics such as Business Entities, Transfer and Transmission of shares, Directors’ duties, Meetings, XBRL/FS preparation, she also assisted with members’ forums and SAICSA’s public enquiries.
In addition, she had assisted ALEXIS in conducting corporate compliance courses for non-legal professionals in law firms, and was also a regular speaker at ACRA events since 2009.
She is also an ACTA / WSQ Certified Trainer endorsed by the Skills Development Fund and conducts regular SCCC MeetUp talks.

2. Post-Registration / Incorporation Matters
• Publication of name
• First Board resolutions
• Creation & maintenance of statutory registers
• Issuance of share certificate(s)
• Fixing financial year end
• Tax exemption for EPCs
• Appointment of secretary, tax agent and auditor
• Opening of bank account, GST registration, etc.
3. Directors / Secretaries
Directors
Definition of director, legal age of 18, role, power, general duties and liabilities of director, appointment, resignation, retirement, non-reelection and removal of director and director’s declaration of interests, loan to directors.
Company Secretary
Definition of company secretary, qualification, role, power, duties and liabilities of secretary, appointment, resignation and removal. Company; Section 171 to be amended?
